Ethical Rules

Code of Conduct
Ethical principles: Company employees and representatives will always work in a manner which is honest and consistent with legal requirements, company procedures and the highest standards of ethical business values. Compliance with legal requirements is only a minimum standard for the company, and the company is determined to be sensitive beyond the legal requirements as required. The Company shall treat and respect equal to each individual regardless of gender, religion, national and ethnic origin, race, color, appearance, marital or family status, sexual orientation, age or political affiliation among its employees and candidate employees. The Company follows a zero-tolerance policy for child labor and forced labor in all its facilities.
As a responsible member of the community, the Company places utmost importance on environmental protection in its facilities. All company employees and their representatives share a commitment to care about environmental problems, protection of natural resources, reduction of air, water and waste discharged to land. The Company aims to provide all its employees with a safe and healthy work environment in accordance with relevant national and local laws.
Confidentiality in the company's own assets and commercial relations: People among the Company employees, who have access to and control the information, are obliged to keep the company's assets and secrets confidential. This information cannot be removed by written document and computer. This information is not disclosed to third parties and to the general public, in particular if it is not disclosed to the “public, confidential and private”. Employees to give information outside is against Company regulations, even if this information is not much private and confidential. It is necessary to keep the secrets of our company but also the secrets of the competitors. In addition, those who leave the Company cannot use the information they had in here.
Corporate behaviors: These are commercial business documents that must kept confidential such as company books, information, documents, accounts, customer lists, price lists. Again these documents and information should be kept accurate, there should not be any mistakes, misleading information, and should not turn into misleading condition by adding inaccurate entries. Documents and information should be kept in a position accessible to the relevant department manager and all information related to the Company should be written and reported. Employees should not keep secrets related to the work from their managers.
Salaries and premiums: All employees are obliged to keep their salaries, premiums, bonuses, per diems, awards not announced by the company, and their increases as private. It is not acceptable for the Company employees to talk about these issues. In addition, employees who reach this information by duty are obliged to keep them confidential.
Filing, information management: All employees should keep the information and documents safe for the periods, that they might use, and legal requirements, and should act carefully. Documents and information should be kept in the location accessible to the administrator and all information related to the Company should be in written and reported condition.
Material conflict of interest: Company employees and their first and second degree relatives cannot enter the trade business directly or indirectly by establishing a regular sale or purchase relation with the Company. In the event of such a relation, the employee must inform the Board of Directors and obtain written approval before the relation occurs. And in the condition that it is allowed, the employee or his or her first and second degree relatives shall not be given any advantage. Employees included in the management team (General Manager and Managers) shall submit to the Financial Affairs Group Manager in writing the shares, that they own in other companies, and stocks in other companies that they own in January of each year.
Improper payments, business parties, business gifts: Receiving and giving bribes are not accepted in any way. Employees and employees' first and second degree relatives cannot take any payment, securities from the companies or persons who have a commercial relationship with the company or become indebted to them. Except for generally accepted applications, they cannot accept any commercial valued gifts, hospitality and/or travel expenses entertainment offers.
Relations with competitors: If their first and second degree relatives work in competing companies, the employees are obliged to inform the department manager and the General Manager.
Companies doing business with the company: Establishing a business relationship with the companies doing business with the company is not acceptable for both employees and first and second degree relatives.
Outsourcing: Employee engagement, consultancy and/or commercial partnership with other institutions and organizations is not acceptable. However, the employee can conduct business outside the Company on condition that it informs the department manager and the General Manager in writing and as long as it is out of working hours.
Debtor-Creditor Relationship: It is essential that employees do not enter into borrowing and lending relationships with each other. In addition, employees cannot vouch for each other. The Company cannot be held responsible for such relations.
Suitable behaviors: Employees of the Company should also be attentive to their behavior and attitude.
Is that all?
The Transact Business Principles of Er-Bakır are not limited to the summary you have read. In here only some of the important concepts that support the values of our Company have been tried to be introduced. The only thing you need to do your part in order to maintain the high standard of work in our company and to protect our company's reputation is only to have common sense and understand legal / ethical principles.
Er-Bakır, with considering that legal legislation changes from country to country and from region to region, compels the employees to comply with the legal regulations applicable to the region they operate and their work. However, these are only minimum standards. If the Transact Business Principles described here are more comprehensive than the legal regulations, then the Er-Bakır Transact Business Principles applies.
Who should adopt these principles?
These standards and principles are for all employees and consultants working in Er-Bakır and its affiliated companies.
In this booklet, the “Company” or “Er-Bakır” expressions represent Er-Bakır and all our companies.
All of our employees are responsible for compliance with these principles and the laws and rules governing the activities of our company, as well as other policies and procedures that may be announced by the company. And the managers are responsible for ensuring that their employees comply with these working principles.
The success of our company in fulfilling its legal and ethical obligations depends on each one of us to ask for information before problems arise and to report incidents that may constitute a violation of the Transact Business Principles. It doesn't matter that an employee to do an illegal or unethical act for his/her own benefit or others or tries to protect Er-Bakır’s benefits in the wrong way with this behavior of his/her. In its simplest terms, unethical or illegal behavior is unacceptable in Er-Bakır and its subsidiary companies.
What should I do if I notice a violation?
We encourage you to make every effort to ensure no one in the Company goes out of Transact Business Principles. In this context, you are expected to report the situation to the manager, the Human Resources Manager or the General Manager, in case of violation of security rules, legal regulations or company policies.
The policy of Er-Bakır is to support and protect the employees who strive to report in good faith the suspected violations. Any information regarding events suspected of infringing legislation or company policies is considered in a fair manner and kept confidential. When you encounter such situation, it is very important that you do not conduct your research on your own and immediately inform the relevant parties.
